User Agreement
This User Agreement ("Agreement") is entered into between you or the entity you represent and Explo Travel Software ("Explo") and covers the Terms and Conditions of use of Explo Travel Software.
Acceptance of Terms
By accessing or using the Service or Platform provided by Explo via www.explotravelsoftware.com (the "Platform"), you agree to abide by this User Agreement ("UA"). Your acceptance of this UA acknowledges your understanding and agreement to be bound by its terms. If you are entering into this UA on behalf of a company or entity, you affirm that you have the authority to bind such entity to this agreement. If you lack such authority or do not agree with this UA, refrain from accepting it and abstain from using the Service.
Modifications to Terms
Explo reserves the right to modify, amend, add, or remove sections of this UA at its discretion. Any such changes will be communicated through the Explo interface or posted on the Platform. It is your responsibility to review this UA periodically for updates. Your continued use of the Service after any modifications constitutes acceptance of the revised terms.
Description of Service
The "Service" encompasses access to the Platform, tools and services offered through the Platform, configuration, setup, and implementation services and all software, data, text, images, sounds, video, and content available through the Platform "Content". Any additional features integrated into the Service are also subject to this UA.
Subscription Fees and Payments
Subscription Fees are fixed for the subscription period unless you alter your subscription or add features. Subscription Fees are charged monthly in advance and are non-refundable.
You will receive invoices in advance of each billing period, with payment due before the beginning of the applicable subscription period. Taxes are your responsibility unless stated otherwise.
Non-payment of subscription fees may lead to disconnection and termination of services without any further warning.
Explo reserves the right to adjust subscription fees and prices of services from time to time as deemed necessary by its management.
Modifications to Service
Explo may modify or discontinue parts of the Service without notice, and you may be notified of such changes.
General Conditions
You may access and use the Service only for lawful purposes, as outlined in this UA.
You agree not to permit unauthorized users to access or use the Service, and you shall not (a) license, sell, resell, rent, lease, transfer, or distribute the Service, except as expressly permitted by this UA; (b) modify or distribute any part of the Service; (c) process data on behalf of any third party using the Service; or (d) use the Service unlawfully or in a manner that disrupts its integrity or performance.
The failure of Explo to enforce any provision of this UA does not constitute a waiver of that provision. This UA constitutes a contractual agreement between You and Explo and supersedes any prior agreements.
You are solely responsible for all data, content, and materials transferred in connection with the Service ("Your Content"). You must maintain the confidentiality of your account credentials. Explo reserves the right to access your account to provide technical support and may remove or disable any Content for any reason.
Cancellation and Terminations
You may terminate your account at any time through the procedures outlined on the Platform. Explo reserves the right to modify, suspend, or terminate the Service or your account for any reason without liability.
Indemnification
You agree to indemnify and hold Explo and its employees harmless from any claims, liabilities, damages, or expenses arising from your use of the Service or Your Content.
Limitation of Liability
Explo shall not be liable for any indirect or consequential damages arising from your use of the Service. Explo's liability to you for any Service, whether direct or indirect, shall not exceed the fees paid by you.
Explo shall not be held liable for any financial loss caused due to or as a result of the use of its software.
Assignment
Explo may assign or transfer this UA without restriction. You may not assign this UA without Explo's written consent.
Governing Law
This User Agreement is governed by the laws of South Africa. You agree to submit to the exclusive jurisdiction of South African courts of law for any disputes related to the use of Explo.
